1. Acceptance of Terms

These Terms & Conditions apply to all visitors, inquiries, clients, and users of Sync Soft Solution. By accessing our website, communicating with us, or purchasing any service, you agree to be bound by these terms.

2. Lawful Use of Services

Sync Soft Solution services may be used only for lawful, ethical, and authorized purposes. You may not use our services, hosting, systems, websites, or deliverables for activities that violate applicable law, regulations, or the rights of others.

• Uploading, publishing, or distributing unlawful, defamatory, threatening, abusive, or fraudulent content.
• Using copyrighted, trademarked, or proprietary material without proper rights or authorization.
• Violating privacy, confidentiality, export control, or applicable digital platform policies.
• Misrepresenting identity, business credentials, or ownership rights while using our services.

3. Intellectual Property

All content, graphics, branding, code, designs, strategies, layouts, documents, and assets created by Sync Soft Solution remain our property unless otherwise agreed in writing or transferred after full payment under the specific project terms.

Clients are responsible for ensuring they have proper rights to any logo, content, images, trademarks, videos, software, or other materials they provide to us for project execution.

4. Spam, Unsolicited Promotion & Abuse

Sending unsolicited bulk messages, spam emails, deceptive promotions, or abusive digital communication using services associated with Sync Soft Solution is strictly prohibited.

• Email spam and bulk unsolicited campaigns.
• False promotional claims, misleading funnels, or deceptive digital marketing activities.
• Activities likely to damage platform reputation, hosting health, or service integrity.

We reserve the right to determine, in our sole discretion, whether any behavior constitutes spam, abuse, or misuse.

5. Security & System Abuse

Users must not misuse, test, overload, damage, disrupt, or attempt unauthorized access to any website, server, application, system, or infrastructure associated with Sync Soft Solution.

• Unauthorized access to systems, credentials, databases, or networks.
• Interference with service availability, including flooding, overload attempts, or broadcast attacks.
• Use of malware, bots, worms, trojans, destructive scripts, or denial-of-service activities.
• Forging packet headers, email headers, sender identities, or technical origin data.

6. Prohibited Content & Activities

You may not use Sync Soft Solution services to store, publish, distribute, or support content or activities that are illegal, harmful, infringing, abusive, exploitative, or otherwise prohibited by law or platform policy.

• Pirated software, cracked tools, or illegally distributed digital media.
• Pornographic, obscene, exploitative, or unlawful adult content where prohibited.
• Malicious files, viruses, worms, trojans, or destructive digital activity.
• Any content that exposes Sync Soft Solution to legal, regulatory, or reputation risk.

We may remove, suspend, or deny service without prior notice if such use is detected or reasonably suspected.

7. Payment Terms

Payment terms apply to all services unless a separate written agreement states otherwise. By making a payment to Sync Soft Solution, you accept the billing structure and payment rules outlined below.

7.1 Project Initiation & Advance Payment

1. All projects generally require an advance payment before any work begins.
2. For most service engagements, project work starts only after confirmation of payment and scope approval.
3. The remaining amount is payable according to agreed milestones, billing schedule, or before final delivery and launch.

7.2 Non-Refundable Policy Non-Refundable

1. Once work has started, all payments made are strictly non-refundable.
2. This includes planning, strategy, research, design, development, ad setup, campaign work, content creation, consultation, setup, or technical implementation.
3. Advance payments, milestone payments, and partial or full service fees already paid cannot be reversed once execution has begun.

7.3 Payment Modes

1. Payments may be accepted through bank transfer, UPI, PayPal, or other approved payment methods.
2. International clients are responsible for applicable transfer fees, conversion charges, taxes, and intermediary banking costs.

7.4 Invoices & Due Dates

1. Invoices are payable within the due period mentioned on the invoice unless otherwise agreed in writing.
2. Late payments may result in project delays, suspension of service, restricted support, or access limitations until dues are cleared.

8. Scope Changes & Additional Work

Any work requested outside the original approved scope will be treated as additional work and may be billed separately. Scope changes may affect project timelines, cost, delivery sequence, and support terms.

1. Any new features, extra pages, new revisions, redesign requests, extra campaigns, or strategy expansions may require a revised quotation.
2. Additional work will begin only after confirmation and may require partial or full advance payment.
3. Once additional work has started, related payments are also non-refundable.

9. Delivery, Access & Handover

Final files, code, credentials, design assets, ad accounts, deliverables, reports, or transferred materials are normally handed over only after full and final payment has been received.

• Partial previews, testing links, or working drafts do not constitute final handover.
• Sync Soft Solution may withhold final access, deployment, source files, or administrative rights until outstanding dues are cleared.
• In case of chargeback, disputed payments, or unpaid work, we may revoke or suspend access where permitted.

10. Hosting, Renewals & Ongoing Services

For hosting, maintenance, SEO retainers, ad management, or ongoing support services, billing may be monthly, quarterly, or annual as agreed at the time of purchase.

• Recurring services are billed in advance unless otherwise stated.
• Missed renewals may result in downtime, suspension, expiry, or loss of continuity depending on the service provider’s policy.
• Third-party platforms such as hosting companies, domain registrars, ad networks, and software vendors may apply their own service terms.

11. Suspension, Refusal & Termination of Service

Sync Soft Solution reserves the right to refuse, restrict, suspend, or terminate services if a client violates these terms, misuses our systems, behaves abusively, fails to pay on time, or exposes our business to legal, technical, operational, or reputational risk.

• Violation of lawful use rules or prohibited content policies.
• Non-payment, repeated delays, or unauthorized reversal of valid payments.
• Misleading, abusive, threatening, or unethical conduct toward our team or systems.
• Requests involving unlawful, infringing, fraudulent, or non-compliant business activities.

Depending on the seriousness of the issue, we may suspend access without prior notice and pursue available legal remedies.

12. Limitation of Liability

All Sync Soft Solution services are provided on an “as is” and “as available” basis, unless otherwise stated in writing. While we aim to provide high-quality and professional services, we do not guarantee uninterrupted service, platform approval, search rankings, third-party policy outcomes, or business results beyond the scope of our actual deliverables.

• We are not liable for indirect, incidental, consequential, or special damages arising from use of our services.
• We are not responsible for loss caused by third-party hosting failure, ad account suspension, search engine updates, or external platform policy changes.
• We are not liable for delays caused by missing client approvals, incomplete content, or pending client inputs.

13. Indemnification

You agree to indemnify, defend, and hold harmless Sync Soft Solution, its team, affiliates, contractors, and service partners from claims, liabilities, losses, damages, or legal costs arising from:

• Your misuse of our services or breach of these Terms & Conditions.
• Content, materials, data, or instructions supplied by you that violate third-party rights or applicable law.
• Your business practices, advertising claims, or unlawful digital activities carried out using our work or platforms.

14. Changes to These Terms

We may revise these Terms & Conditions from time to time to reflect business changes, updated laws, service structure changes, pricing rules, technology changes, or operational requirements.
